Welcome to FleetKeeper. These Terms of Service ("Terms") govern your access to and use of the FleetKeeper mobile application, website, and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you represent that:

  • You are at least 18 years old and have the legal capacity to enter into these Terms.
  • You are authorized to bind the company or organization on whose behalf you are using the Service.
  • You will comply with all applicable laws and regulations when using the Service.

2. Description of Service

FleetKeeper is a fleet management application that helps transportation companies track and manage expiration dates for vehicles, drivers, and company documents. The Service includes:

  • Expiration tracking and management
  • Push and email notifications
  • Document storage and attachment
  • Multi-user collaboration with role-based access
  • Dashboard and reporting features

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Company Accounts

When you create a company account, you represent that you are authorized to act on behalf of that company. The account administrator is responsible for managing user access and permissions.

3.3 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

4. Subscription Plans and Payment

4.1 Free and Paid Plans

FleetKeeper offers both free and paid subscription plans. The features available to you depend on your subscription plan.

  • Starter (Free): Up to 5 vehicles, 3 users
  • Professional: Up to 25 vehicles, 10 users
  • Business: Up to 100 vehicles, 25 users
  • Enterprise: Unlimited vehicles and users

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is due at the start of each billing period.

4.3 Price Changes

We may change our prices at any time. Price changes will take effect at the start of the next billing period following notice to you.

4.4 Refunds

Subscription fees are non-refundable except as required by applicable law. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.

5. User Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws.
  • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
  • Use any automated means, including robots, spiders, or scrapers, to access the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Share your account credentials with others or allow multiple people to use your account.
  • Upload false or misleading expiration data.

6. Content and Data

6.1 Your Content

You retain ownership of all content and data you upload to the Service ("Your Content"). By uploading content, you grant FleetKeeper a limited license to use, store, and display Your Content solely for the purpose of providing the Service.

6.2 Responsibility for Content

You are solely responsible for the accuracy and completeness of Your Content. FleetKeeper does not verify the accuracy of expiration dates, document validity, or other information you enter.

6.3 Data Backup

While we maintain backups of our systems, you are responsible for maintaining your own backups of Your Content. We recommend exporting your data periodically.

7. Intellectual Property

7.1 FleetKeeper's Rights

The Service, including all content, features, and functionality, is owned by FleetKeeper and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

7.2 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by FleetKeeper without any obligation to you.

8. Third-Party Services

The Service may contain links to or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk.

9. Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee the accuracy or reliability of any information obtained through the Service.

9.3 Compliance Responsibility

FleetKeeper is a tool to help you track expiration dates. YOU ARE SOLELY RESPONSIBLE FOR ENSURING COMPLIANCE WITH ALL APPLICABLE LAWS, REGULATIONS, AND REQUIREMENTS. The Service does not constitute legal, regulatory, or compliance advice. Notifications are provided as reminders only, and you should not rely solely on them for compliance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEETKEEPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Fines or penalties resulting from missed deadlines
  • Vehicle downtime or operational disruptions
  • Costs of substitute services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless FleetKeeper and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any rights of another party

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in the app. Upon termination, your right to use the Service will immediately cease.

12.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended periods of inactivity

12.3 Effect of Termination

Upon termination, your data will be retained for 30 days to allow you to export it. After that period, your data will be permanently deleted.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by the competent courts of Romania.

14.3 European Union Users

If you are a consumer in the European Union, you may also be entitled to bring a claim in the courts of your country of residence. Nothing in these Terms affects your rights as a consumer under mandatory consumer protection laws.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements you enter into with us, constitute the entire agreement between you and FleetKeeper regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
